Terms of Service

1. Services & Project Scope

Usher Media delivers engineering-backed digital marketing services including Search Engine Optimization (SEO), Pay-Per-Click Advertising (Google Ads, Meta Ads), Social Media Management, Content Creation, and Custom Website Development. Detailed deliverables, KPIs, timelines, and milestones for any specific client engagement are defined in individual Statements of Work (SOW) or Service Agreements.

2. Retainer & Payment Terms

• Invoicing: Monthly retainer services (SEO, PPC management, social media growth) are invoiced in advance of each billing cycle. Project-based web development engagements follow a milestone-based payment schedule.
• Ad Spend: Advertising spend budgets (paid to Google, Meta, LinkedIn, etc.) are paid directly by the client to the ad platforms or funded in advance into dedicated ad accounts.
• Taxes: All fees are subject to applicable Goods and Services Tax (GST) as per Indian statutory law.

3. Client Responsibilities & Approvals

To ensure high-velocity delivery, clients agree to provide timely access to necessary assets, brand collateral, DNS/hosting records, ad accounts, and feedback within agreed review windows.

4. Intellectual Property Rights

• Deliverables: Upon receipt of full payment, all customized web design files, creatives, approved ad copy, and client-specific deliverables become the exclusive property of the client.
• Proprietary Frameworks: Usher Media and Softknack Technologies retain all ownership rights in our proprietary internal testing frameworks, diagnostic scripts, boilerplate codebases, and methodologies.

5. Performance Guarantees & Measurement

While Usher Media applies rigorous data-driven engineering practices and historical case-study playbooks to maximize ROI, search engines and ad platform algorithms operate outside direct third-party control. Consequently, while we guarantee high technical standards, documented monthly reports, and agile sprint execution, specific ranking positions or ad conversion volumes cannot be guaranteed unconditionally.

6. Confidentiality & Non-Disclosure

Both parties agree to hold all non-public technical, commercial, financial, and strategic information received during the engagement in strict confidence, using it solely for the purpose of executing agreed services.

7. Limitation of Liability

In no event shall Usher Media or Softknack Technologies be liable for any indirect, incidental, special, or consequential damages arising out of the use of our services or website. Our total aggregate liability under any service contract shall not exceed the total fees paid by the client in the preceding three (3) months.

8. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or related to these terms shall be subject to the exclusive jurisdiction of the competent courts in Chennai, Tamil Nadu, India.
